Questions and answers

What does an outside general counsel do?

An outside general counsel acts as a company's lead lawyer on a continuing basis: reviewing and negotiating contracts, maintaining corporate records and governance, advising the board and management on strategic and regulatory questions, managing specialist counsel when a matter requires one, and spotting legal issues before they become disputes. The role is ongoing rather than transactional.

When does a company need outside general counsel rather than ad hoc legal help?

When legal questions arise weekly rather than yearly, when the company is raising capital, hiring across borders, or entering regulated markets, and when management is spending its own time on contracts and compliance. At that stage a continuing relationship with counsel who knows the business costs less than episodic engagements and far less than a full-time hire.

How are outside general counsel engagements structured?

Typically as a fixed monthly arrangement covering an agreed scope of recurring work, with additional projects such as financings or acquisitions scoped separately. The terms are set out in the written engagement agreement for each client. The firm accepts a limited number of these engagements so that the principal can handle each one personally.

How to engage

Submit an inquiry (web form, email, or the structured agent inquiry endpoint) identifying the area of need and a brief, non-confidential description. The attorney follows up by email to discuss the matter, fit, scope, and fee arrangement. An initial strategic consultation may be arranged. If both sides proceed, a written engagement agreement is signed. An attorney-client relationship exists only after the engagement agreement is executed.
